About Valens & the Role

Valens Semiconductor (NYSE: VLN) is an established, publicly traded semiconductor company in growth mode, known for its high-performance connectivity chipsets and industry standards, including HDBaseT and MIPI A-PHY. Valens operates across diverse markets, including automotive, Pro AV, education, industrial and medical.

We are seeking an experienced General Counsel to lead Valens’ legal and corporate governance function, with a strong focus on U.S. public company compliance, securities law and corporate governance.

Reporting directly to the CFO, you will serve as a key strategic partner to the company’s leadership, working closely with the CFO, CEO, Board of Directors and executive team. You will take ownership of Valens’ legal affairs as a NYSE-listed foreign private issuer, ensuring robust regulatory compliance while supporting the company’s commercial strategy, global operations and continued growth.

This is a senior, hands-on role requiring substantial practical experience supporting a U.S.-listed public company, sound business judgment and the ability to navigate complex legal and regulatory matters in a dynamic, international technology environment.

Responsibilities

• U.S. Public Company Compliance & Securities Law: Lead SEC and NYSE compliance as a foreign private issuer, including Form 20-F and 6-K filings, disclosure controls and procedures, insider trading policies, and other securities law and public company reporting matters.
• Corporate Governance: Lead corporate governance matters under Israeli law and applicable U.S. securities regulations, including Board and committee matters, shareholder meetings, related-party transactions and corporate approvals.
• Executive & Board Advisory: Advise the CFO, CEO, Board of Directors and executive team on legal, regulatory, governance and strategic matters.
• Commercial & Technology Agreements: Lead the drafting, review and negotiation of complex international commercial, strategic, licensing and technology agreements with OEMs, Tier-1 suppliers, distributors and technology partners.
• Strategic Transactions: Provide end-to-end legal support for financing activities, strategic partnerships and other corporate transactions.
• Intellectual Property: Oversee IP strategy and legal matters, including patents, licensing, open-source software and standards-body and industry-alliance obligations.
• Regulatory Compliance & Ethics: Oversee compliance with export controls, sanctions, anti-corruption laws, privacy requirements and the company’s ethics and compliance programs.
• Employment & Equity Incentives: Advise on employment-related legal matters and equity incentive plans.
• Disputes & External Counsel: Manage litigation, disputes, external counsel relationships and legal budgets.

Requirements

• LL.B. or J.D. and membership in the Israeli Bar; an LL.M. or U.S. legal qualification is an advantage.
• 8+ years of legal experience, including experience at a leading corporate / high-tech law firm and significant in-house legal experience.
• Mandatory hands-on in-house experience at a U.S.-listed public company, with direct responsibility for public company legal matters, securities law compliance and corporate governance.
• Strong practical expertise in U.S. securities law, SEC reporting and NYSE compliance, including foreign private issuer reporting requirements, Forms 20-F and 6-K, public disclosures, disclosure controls and procedures, and insider trading policies.
• Experience advising an Israeli company listed on a U.S. stock exchange is strongly preferred, including the ability to navigate the interaction between Israeli corporate law and U.S. securities regulations applicable to foreign private issuers.
• Strong command of the Israeli Companies Law and Israeli corporate governance requirements, including Board and committee matters, shareholder meetings and related-party transactions.
• Proven experience negotiating complex international commercial, technology and licensing agreements.
• Familiarity with IP, technology licensing and related legal matters in the semiconductor or broader high-tech industry.
• Strong business acumen, sound judgment and a pragmatic, solutions-oriented approach to supporting business teams.
• Experience with export controls and trade compliance, including matters involving Asian markets.
• Excellent communication and stakeholder management skills, with the ability to work effectively with the CFO, CEO, Board of Directors and cross-functional teams.
