We are orchestrating a sizable institutional fundraising round aligned with comparable recent financings of frontier AI labs. We are currently pre-institutional funding, making this a rare opportunity to join at true foundation stage, with ownership structured around long-term equity alignment until the close of the institutional round.

This role is designed for a finance leader who understands that capital structure is strategy, and that the financial architecture built at inception defines how a generational company scales.

** The Mandate **

We are seeking a CFO to architect the company's capital and financial foundation from inception.

This is not a controller role.

This is a strategic finance leadership position at the center of capital formation, governance design, and disciplined institutional scale.

You will operate as a core and trusted executive partner to the CEO, shaping both capital strategy and long-term financial architecture.

** What You Will Drive **

Executive Partnership

• Translate frontier AI ambitions into a credible institutional financial narrative.
• Serve as a strategic thought partner to the CEO and founding team.
• Represent EQE with authority across Israeli and US capital markets.
• Align capital strategy with long-term institutional positioning.

Institutional Capital Strategy

• Architect and execute the upcoming institutional fundraising round.
• Structure equity, strategic, and hybrid financing aligned with capital-intensive AI infrastructure.
• Lead valuation strategy, term sheet negotiations, and syndicate construction.
• Review and prepare institutional-grade financial models, forecasts, and diligence materials.
• Leverage prior experience contributing to or orchestrating large institutional capital raises (ideally nine-figure).

Financial Architecture & Institutionalization

• Build and institutionalize the company's financial model to institutional standards.
• Design capital allocation frameworks for compute-intensive R&D and infrastructure.
• Establish governance, reporting, and board-ready financial structures.
• Implement budgeting, forecasting, and long-term planning processes.
• Develop scenario planning for capital efficiency and scale.
• Prepare the company for audit readiness and future regulatory exposure.

** Ideal Profile **

Background

• Israeli (required).
• Former CFO, VP Finance, or senior strategic finance leader in a VC-backed deep tech, AI, semiconductor, or infrastructure-heavy company.
• Direct experience leading or materially contributing to institutional fundraising rounds.
• Experience with large capital raises (>$100M).
• Exposure to Silicon Valley capital markets (major advantage).

Financial & Operational Strength

• Strong financial modeling, capital structuring, and scenario planning expertise.
• Experience building finance functions from early stage to institutional scale.
• Deep understanding of governance and reporting frameworks.
• Ability to balance capital ambition with disciplined deployment.
