JOB SUMMARY

We are looking for a talented, independent yet team-spirited attorney with a passion for technology, law and negotiations to join Operative’s close- knit collaborative legal team that supports all corporate and commercial needs of group entities around the world.

The roles and responsibilities of the successful applicant would include ongoing support of organizational compliance requirements and policies, as well as advising internal stakeholders, preparing, supporting and leading commercial negotiations with customers and vendors.

Full Time position; hybrid, Petah Tikva/WFH.

Reports To: Associate General Counsel, based in Israel.

The other two members of the legal team are based in NY.

MAIN DUTIES AND RESPONSIBILITIES

Point person on corporate legal matters, including coordinating responsibilities of legal team and outside counsel on financing, mergers & acquisitions and related due diligence.
Handle entity management for all group entities worldwide, including working with registered agents, maintaining corporate records, drafting corporate resolutions and managing signature process; handle routine corporate administration and filings.
Includes corporate compliance for entities in various jurisdictions, including Australia, India, Israel, Luxembourg, Romania, UK, and US. Will coordinate with local controllers and providers in those jurisdictions.
Support commercial sales business of Operative, with a focus on SaaS, on-premises software transformation and managed services; and also including vendor agreements and other general legal functions.
Drafting, reviewing and negotiating a variety of technology agreements – primarily SaaS subscription agreements and software licenses; and related SOWs and schedules.
Improving and maintaining our standard commercial agreements, contract negotiation playbooks and legal processes to help us scale globally.
Proactively working with internal clients (e.g., sales, engineering, support) to get feedback on agreements, improve and scale all aspects of the sales contract negotiation process.
Directly supporting requests from the sales and finance organizations related to RFPs, new commercial agreements, change orders and renewals.
Assist with vendor agreements and related internal approval processes, including managing intake and purchase order approval in collaboration with Procurement.
Assist with collections disputes, including those related to customer bankruptcy. Will include sending external correspondence representing

COMPETENCIES

The following is not an exhaustive or exclusive list of duties. The successful candidate may be required to carry out any other associated tasks to ensure the successful delivery of Operative’s objectives.
Bachelor’s or master’s degree from an accredited law school and member of the Israeli Bar, in good standing.
Minimum of 3 Years of experience in technology law and commercial negotiations; working knowledge of software and SaaS agreements.
Strong negotiation and influencing skills.
Go-getter deal-maker: capable of assuming responsibility for a particular matter/deal and pushing it over the finish line.
Strong prioritization, efficiency and organization skills needed to independently handle high volume of requests. Willing to tackle matters in and outside areas of expertise with professional enthusiasm.
Strong communication skills and experience working with internal and external customers.
Sound judgment in understanding when to engage attorney supervisors when providing support and communicating with third parties
High personal standards, including integrity, professionalism and standard of care.
Ability to work, multitask and find solutions in a fast-paced and rapidly-evolving
Great interpersonal skills, and ability to understand and work together with business
Team player, accountable, dedicated, and passionate
Fluent English – speaking reading and writing.

ADDITIONAL COMPETENCIES (ADVANTAGE)

Member of a foreign (US or UK) Bar, in good standing.
Ability to adapt quickly to new technologies and commercial opportunities for the organization, and strategize collaboration frameworks.
Experience working on financing deals representing the borrower. Experience working on mergers & acquisitions deals, either on the buyer or seller side. International corporate experience and experience in technology mergers and acquisitions.
Working knowledge of AdTech, digital publishing, or television broadcasting-related legal work is a plus. Working knowledge/understanding of GDPR, CCPA and other privacy laws are a plus.
