מחלקת הייעוץ המשפטי ברשות מעניקה ייעוץ משפטי שוטף לכל מחלקות הרשות בנושאי ליבה, תוך עיסוק

בסוגיות רוחב מהותיות בתחומי דיני ניירות ערך, דיני חברות, משפט מנהלי, רגולציה ועיצוב מדיניות. המחלקה

אחראית גם על הובלת כלל תהליכי האסדרה שמקדמת הרשות, ההליכים המשפטיים שהרשות צד להם,

מעורבת בתהליכים מרכזיים, ומעניקה תשתית משפטית ואסטרטגית לפעילות הרשות.

מערך החקיקה עוסק בעיקר בגיבוש וקידום דברי אסדרה של הרשות בשיתוף פעולה עם המחלקות השונות

ברשות, ניסוח וקידום של יוזמות חקיקה מול משרדי הממשלה והכנסת, הגשת עמדות בנוגע לדברי חקיקה

שנוגעים לפעילות הרשות המקודמים על ידי גורמים אחרים וייצוג הרשות בוועדות הכנסת. כמו כן, עוסק המערך

בייעוץ משפטי בתחומי פעילותה השונים של הרשות.

תיאור המשרה:

ייעוץ משפטי, עיצוב אסדרה וקידום הליכי חקיקה בתחומי הליבה של שוק ההון.

התפקיד כולל:

 ניסוח דברי חקיקה ורגולציה וקידומם מבחינה מהותית ותהליכית. העבודה כוללת ממשקי עבודה מול

כל מחלקות הרשות וגורמים חיצוניים, בהם ועדות הכנסת, משרד האוצר ומשרד המשפטים.

 ייעוץ משפטי בתחומי פעילותה השונים של הרשות - בכלל זה, מחקר משפטי, בחינת סוגיות

משפטיות, דין משווה וכתיבת חוות דעת.

 ניהול והובלה של פרויקטים לעיצוב מדיניות בעלי השפעה רחבה על שוק ההון והמשק הישראלי.

 עבודת עומק משפטית בצומת קבלת ההחלטות של הרשות - כולל תהליכים רגולטוריים וחקיקתיים

מהותיים.

הכישורים הדרושים:

חובה:

 לפחות 3 שנות ניסיון כעו"ד

 ניסיון מוכח בלפחות אחד מן התחומים הבאים:

- חקיקה/רגולציה/ ממשקים פנים ממשלתיים

- ניסיון מקצועי בתחום דיני ניירות ערך/דיני חברות/שוק ההון

 אנגלית ברמה גבוהה (קריאה שוטפת וכתיבה ברמה גבוהה. דיבור שוטף- יתרון)

 מיומנות בכתיבה משפטית.

 יכולת עבודה והובלה של צוותים רב-תחומיים ובין-ארגוניים.

 ייצוגיות ויכולת ביטוי גבוהה בכתב ובעל פה.

יתרון:

 ניסיון בחקיקה או בפיקוח.

The Legal Advisory Department at the Israel Securities Authority provides ongoing legal counsel to all departments of the Authority on core matters, while addressing significant cross-functional issues in securities law, corporate law, administrative law, regulation, and policy development. The Department also leads the Authority’s regulatory processes, handles legal proceedings involving the Authority, participates in key organizational processes, and provides the legal and strategic foundation for the Authority’s activities.

The Legislation Division focuses primarily on developing and advancing regulatory measures in collaboration with the Authority’s various departments; drafting and promoting legislative initiatives with government ministries and the Knesset; providing positions on legislation relevant to the Authority’s activities promoted by external parties; and representing the Authority before Knesset committees. The Division also provides legal counsel across the Authority’s various areas of activity.

Providing legal counsel, developing regulatory frameworks, and advancing legislative processes in the core areas of the capital market.

• Drafting legislation and regulatory measures and advancing them from both substantive and procedural perspectives. The role involves working closely with all departments of the Authority and with external stakeholders, including Knesset committees, the Ministry of Finance, and the Ministry of Justice.
• Providing legal counsel across the Authority’s various areas of activity, including legal research, analysis of legal issues, comparative law research, and preparation of legal opinions.
• Managing and leading policy development projects with broad implications for the capital market and the Israeli economy.
• Conducting in-depth legal work at the heart of the Authority’s decision-making processes, including significant regulatory and legislative initiatives.
• Gaining a comprehensive perspective on complex and impactful regulatory activity, including engagement with both the public and private sectors.
• Working across diverse legal fields, including securities law, corporate law, administrative law, financial regulation, and more.

Required:

• At least 3 years of experience as a licensed attorney.
• Proven professional experience in at least one of the following areas:
• Legislation, regulation, or intergovernmental relations.
• Securities law, corporate law, or capital markets.
• High-level English proficiency, including fluent reading and strong writing skills; fluency in spoken English is an advantage.
• Strong legal writing skills.
• Ability to work with and lead multidisciplinary and cross-organizational teams.
• Strong interpersonal, written, and verbal communication skills.

Advantages:

• Additional degree in Accounting, Economics, or Business Administration, or an LL.M.
