Mandragola Ltd. is an active investment and business development Family Office operating across public markets, technology, defense, real estate, and private investments.

The company operates with a lean in-house team in Netanya alongside a broad network of professional advisors in Israel and abroad. Mandragola is part of an Israeli holding group that provides management, regulatory, financial, marketing, and business development support to a portfolio of public and technology companies.

The group is actively involved with companies listed on Nasdaq, NYSE American, and the Tel Aviv Stock Exchange, and has also participated in the formation and development of several SPAC initiatives.

We are looking for a Corporate & Securities Legal Counsel to join our in-house legal team and work across multiple entities at the intersection of U.S. securities regulation, Israeli corporate law, capital markets, and complex commercial transactions.

This is a hands-on and dynamic role combining corporate governance, securities compliance, contract drafting, M&A, and ongoing legal support to public and private companies. AI-powered tools are an integral part of our working methodology and are used to improve legal research, document production, analysis, and workflow efficiency.

Key Responsibilities

• Draft and review, commercial and legal agreements, including LOIs, Share Purchase Agreements (SPAs), consulting agreements, investment-related documentation, capital structures, and profit-sharing arrangements.
• Provide legal support for M&A transactions from due diligence through closing, including multi-stage and performance-based transactions.
• Manage corporate governance matters, including board resolutions, Written Consents, director appointments, board and shareholder meetings, notices, and minutes.
• Support compliance with U.S. securities laws and SEC reporting requirements, including filings such as S-1, S-3, S-8, 8-K, 10-K, 10Q and DEF 14A.
• Work with matters relating to Regulation FD, Section 16, Rule 10A-3, ATM and ELOC/SEPA/CSPA structures, shareholder reporting, and securities transactions.
• Review, analyze, and cross-reference SEC and EDGAR filings relating to transactions, share exchanges, stock splits and reverse splits, ownership structures, and compliance timelines.
• Coordinate with transfer agents and other capital-markets service providers.
• Manage high-volume legal documentation, including appointment letters, warrants, consulting agreements, S-8 related documentation, and electronic signature processes using platforms such as DocuSign.
• Draft formal legal documents in both Hebrew and English.
• Work closely with U.S. securities counsel, Israeli legal advisors, accountants, auditors, regulators, and other external professionals.
• Provide ongoing legal and commercial support to management across multiple portfolio companies and transactions.

Requirements

• LL.B. degree and a valid Israeli Bar Association license.
• 1–5 years of experience in corporate law, securities, capital markets, or commercial law, gained at a leading law firm or within the legal department of a public company.
• Full professional proficiency in both Hebrew and English, including strong legal drafting skills in both languages.
• Familiarity with public companies, capital markets, and U.S. securities regulation — a significant advantage.
• Strong analytical ability, attention to detail
• Ability to work independently and take ownership of legal processes from start to finish.
• High energy and the ability to operate effectively in a fast-moving, multi-company environment.
• Experience with, or strong willingness to adopt, AI-powered legal and productivity tools.
• Ability to create effective prompts, review AI-generated legal output critically, and identify legal, factual, and drafting risks.
• Understanding of AI as a productivity tool for document drafting, comparison tables, regulatory analysis, and legal research, while maintaining professional responsibility and human oversight.
• Strong technological curiosity and comfort working with digital document systems, automation tools, and internal platforms.

Nice to Have

Ability to participate in negotiations & Commercial judgment.

• Familiarity with Delaware corporate law and U.S. corporate structures.
• Experience in defense, defense-tech, technology, or investment companies.
• Exposure to IPOs, SPACs, PIPE transactions, private placements, and capital-raising processes.
• Familiarity with equity instruments such as warrants, RSUs, preferred stock, and other securities.
• Experience supporting cross-border transactions.
• Ability to manage multiple complex workstreams simultaneously under tight deadlines.
