Commercial Legal Counsel

Priority Software Group, a global provider of cloud-based ERP solutions, is looking for a talented and savvy commercial Legal Counsel who is execution-oriented, ambitious and has an “enabler” mindset, to join our legal department in Rosh Ha'Ayin. As a Commercial Lawyer at Priority you will handle diverse, complex and challenging commercial agreements and legal issues and consult Priority’s stakeholders in various legal aspects.

Essential Duties:

• Negotiating, drafting, and reviewing various commercial agreements and transactional documentation.
• Manage company secretarial and corporate governance responsibilities, including preparation of board materials, shareholder resolutions, statutory filings, and compliance with corporate regulations.
• Supporting Priority’s various business lines and organizational objectives, through practical legal guidance, risk assessment, and compliance oversight.
• Providing commercial legal advice to the Company, its subsidiaries and stakeholders.
• Handling ad-hoc projects and assignments.

Qualifications and Education:

• License to practice law in Israel.
• 3-7 years of experience as an in-house legal counsel in a global company (preferably SAAS company) or as a lawyer in a leading law firm’s commercial department - a MUST (experience in both – an advantage).
• Strong experience managing company secretarial and corporate governance matters- an advantage
• Practical knowledge of privacy and data protection laws and regulations (Israel, GDPR and CCPA).
• Ability to leverage AI technologies to streamline and enhance legal workflows, including drafting contracts, document analysis, research, and risk or compliance assessment.
• Excellent written and spoken English and Hebrew – a MUST.
