We are orchestrating a sizable institutional fundraising round aligned with recent financings of frontier AI labs. We are currently pre-institutional funding, creating a rare opportunity to join at true foundation stage, with long-term equity alignment until the close of the round.

This role is designed for a strategic dealmaker who understands that capital formation, partnerships, and M&A are not isolated functions, they are core to how generational companies are built and scaled.

** The Mandate **

We are seeking a VP M&A & Strategic Alliances to lead capital strategy, strategic transactions, and ecosystem partnerships.

This is not a traditional corporate development role.

This is a strategic position at the intersection of capital formation, investor relations, and high-stakes dealmaking, responsible for structuring and executing a $400M institutional funding round, while shaping the company's long-term strategic positioning through strategic partnerships and transactions.

This role is designed for someone who deeply understands the foundational AI landscape, venture capital ecosystem and institutional capital dynamics across Israel and the United States, including how large rounds are built, syndicated, and closed.

Your immediate objective is to work closely with the CEO and leadership team, leveraging both your own network and the team's existing relationships to drive a tightly orchestrated, high-conviction fundraising process.

** What You Will Drive **

Capital Formation & Fundraising

• Lead the structuring and execution of a $400M institutional funding round.
• Engage and manage relationships with Tier 1 VCs, crossover funds and strategic capital.
• Design and orchestrate investor syndicates aligned with long-term company strategy.
• Drive investor outreach, engagement, and conversion in coordination with the CEO.

M&A & Strategic Transactions

• Identify, evaluate, and execute strategic acquisitions and partnerships.
• Lead structuring and negotiation of complex cross-border transactions.
• Support inorganic growth initiatives aligned with research, infrastructure, and long-term defensibility.

Strategic Alliances & Ecosystem Positioning

• Build and manage relationships with key players across the AI, semiconductor, infrastructure, and capital ecosystems.
• Establish strategic partnerships that strengthen the company's positioning and capabilities.
• Leverage both personal network and company relationships to unlock high-value opportunities.

Investor & Market Strategy

• Translate company vision into a compelling institutional investment narrative.
• Advise on market positioning, timing, and investor strategy.
• Maintain continuous engagement with key stakeholders across Israel and Silicon Valley.

Ideal Profile

• Extensive experience in M&A, corporate development, venture capital, or investment banking.
• Proven track record leading or materially contributing to large institutional fundraising rounds (preferably $100M+).
• Deep, first-degree relationships with Tier 1 investors across Israel and Silicon Valley.
• Experience working within or alongside VC-backed deep tech, AI, or infrastructure-driven companies.
• Strong deal structuring and negotiation experience across equity financings and strategic transactions.
• Ability to operate at the intersection of capital, strategy, and execution.
