This role is designed for a strategic legal architect who has operated at the intersection of capital formation, complex regulation, frontier technology, and founder-led ambition; someone who understands how institutions are structurally built, how policy and markets co-evolve, and how disciplined governance enables generational AI companies to scale responsibly and endure.

We are orchestrating a sizable institutional fundraising round aligned with comparable recent financings of frontier AI labs. We are currently pre-institutional funding, making this a rare opportunity to join at true foundation stage, with ownership and long-term alignment structured around equity until the close of the institutional round, which will be led in close coordination with our external legal counsel, Cooley LLP, at the partner level.

** The Role **

We are seeking a Chief Legal Officer who will build and lead the legal architecture of EQE across the US (we're a Delaware registered corp with US team members) and Israel, corporate structuring, governance, capital formation, regulatory positioning, IP strategy, and strategic transactions.

This is not a maintenance role. This is a company-building role.

You will work directly with the CEO to translate EQE's AI vision into a robust, defensible legal architecture, structuring the company for institutional capital, aligning governance with global expansion, and ensuring seamless cross-border integration between US and Israeli legal framework.

** What You Will Drive **

Executive Partnership

• Translate frontier AI R&D ambitions into a credible institutional legal and financial narrative.
• Serve as a strategic thought partner to the CEO.
• Represent EQE with authority across US capital markets.

Corporate Architecture & Governance

• Own the end-to-end legal strategy for the corp operating across both US and Israeli jurisdictions.
• Design governance structures aligned with institutional capital and long-term defensibility.
• Prepare the company for large-scale institutional fundraising.

Capital Formation & Strategic Transactions

• Lead legal preparation for a nine-figure funding round.
• Structure and negotiate venture financings, strategic investments, and secondary transactions.
• Lead or materially support M&A transactions, strategic partnerships, and cross-border structuring initiatives.
• Oversee and coordinate external counsel across jurisdictions.

Frontier AI Legal & Policy Strategy

• Develop a proactive legal framework around foundational AI, safety, governance, and emerging regulation.
• Navigate US and Israeli regulatory landscapes, including export controls, AI governance frameworks, and evolving federal and international policy.
• Position EQE responsibly within the global AI regulatory conversation.

IP & Strategic Defensibility

• Architect an IP strategy aligned with our AI research.
• Protect long-term research objectives while enabling strategic collaboration.
