Legal Counsel

The General Counsel will serve as the Company’s principal legal advisor, providing pragmatic, business-oriented guidance to a global, NASDAQ-listed MedTech company. The role will lead corporate governance and securities compliance, support commercial and strategic initiatives, and manage M&A, financing, and key risk areas across the organization.

Responsibilities:

• Provide legal support to a global public company listed on NASDAQ, including compliance with SEC and NASDAQ rules and corporate governance best practices.
• Lead and advise on public company matters, including SEC reporting support (10-K/10-Q/8-K), disclosure controls, Reg FD considerations, and insider trading policies/program administration.
• Support Board of Directors and committee activities, including materials review, resolutions/consents, minutes, and corporate secretary responsibilities (as applicable).
• Draft, review, and negotiate a broad range of commercial agreements (e.g., enterprise customer agreements, partner/channel agreements, vendor/SaaS agreements, DPAs, BAAs, SOWs).
• Provide legal support for M&A transactions, strategic partnerships, and fundraising/capital markets activities, including due diligence, term sheets, definitive documentation, and post-close integration support.
• Oversee equity plans and equity administration matters, including plan documentation, grant documentation, and related governance/filing support (as applicable).
• Advise cross-functional teams (Finance, HR, Sales, Marketing, Product, Operations) on day-to-day legal issues, risk assessment, and issue resolution.
• Manage external counsel and other advisors; oversee legal budget, matter prioritization, and dispute/litigation strategy.
• Support privacy and data security legal needs, in collaboration with Chief Compliance officer consistent with the Company’s business model and markets.

Qualifications

• LL.B. degree and active license to practice law.
• Mix of BigLaw + in-house strongly preferred
• Demonstrated SEC/Nasdaq governance experience – mandatory + M&A + commercial depth
• Experience in healthcare/digital health/privacy is a big plus
• 8+ years of relevant legal experience
• Ability to work independently in a global, fast-paced, dynamic environment.
• Significant experience advising publicly traded companies, including SEC/NASDAQ compliance and corporate governance (preferably NASDAQ-listed).
• Strong commercial contracting expertise, with a track record of negotiating complex agreements with customers, partners, and strategic vendors.
• Experience supporting M&A and financing transactions.
• Preferred: experience in medtech/digital health/healthcare, and regulated environments.
• Strong judgment, ability to balance risk with business objectives, and ability to operate effectively with senior leadership and the Board.

Preferred Qualifications:

• Experience in the technology or healthcare industry.
• International legal experience is an advantage.
• Familiarity with global compliance frameworks.
