Ondas Defence is a fast-growing global technology company with a strong focus on strategic expansion through acquisitions. As part of the continued growth of our Finance organization, we are seeking a senior leader to establish and lead the Financial Due Diligence function across all M&A activities.
The Director of Financial Due Diligence (M&A) will play a critical role in evaluating acquisition targets, identifying financial risks and value drivers, and supporting transaction execution from initial assessment through closing. This position sits within the Finance organization and works closely with Corporate Development, senior management, and external advisors to ensure high-quality deal execution and informed decision-making.
Responsibilities
- Lead the financial due diligence process for acquisitions, investments, and strategic transactions from initial evaluation through signing and closing.
- Own and review Quality of Earnings (QoE) analyses, net working capital assessments, debt and cash-like item analysis, and EBITDA normalization.
- Analyze historical financial statements, management reports, forecasts, and business plans of target companies.
- Identify key financial risks, red flags, and value creation opportunities; translate findings into clear, actionable insights for senior leadership and deal committees.
- Manage and coordinate external advisors, including Big 4 accounting firms, valuation specialists, and legal advisors.
- Support transaction structuring, purchase price mechanisms, and post-closing adjustments.
- Prepare and present due diligence findings to executive management and investment/deal committees.
- Collaborate closely with FP&A, Accounting, Legal, and Corporate Development teams to ensure seamless transaction execution and post-acquisition integration readiness.
- Continuously enhance due diligence methodologies, tools, and internal M&A financial processes to support company growth and scalability.
- Bachelor’s degree in Finance, Accounting, Economics, or a related field; CPA, CFA, or MBA strongly preferred.
- 5+ years of experience in financial due diligence, transaction advisory, M&A, audit, or corporate finance, including leadership responsibility.
- Proven hands-on experience leading due diligence workstreams on buy-side M&A transactions.
- Deep understanding of accounting principles (US GAAP and/or IFRS) and transaction-related financial matters.
- Experience working in multinational, multi-currency, and high-growth environments.
- Advanced financial modeling and Excel skills, with the ability to review and challenge complex transaction models.
- Demonstrated ability to operate independently, manage multiple concurrent deals, and meet aggressive deadlines.
- Strategic mindset with strong analytical capabilities and attention to detail.
- Highly proactive, hands-on, and ownership-driven.
- Strong business judgment, integrity, and discretion in handling sensitive transactions.
- Ability to thrive in a fast-paced, acquisition-driven environment.
