Corporate and Capital Markets Counsel

(Focus: Company Secretariat, TASE Reporting, Corporate Governance)

Reports to: General Counsel Experience: 6–8 years

Job Description: We are looking for a precise and professional attorney to manage the company's corporate governance and public reporting obligations. The role involves working closely with the GC, senior management, and the Board of Directors.

Key Responsibilities:

• Company Secretariat: Managing the ongoing operations of the company secretariat; preparing agendas and materials for Board and Committee meetings; drafting minutes and resolutions; monitoring the execution of Board decisions.
• Securities & Reporting: Full responsibility for immediate and periodic reporting to the ISA and TASE (via MAGNA/MAYA systems); ensuring compliance with the Israeli Securities Law and regulatory requirements.
• Corporate Transactions: Legal support for capital markets activities (public/private offerings), capital raisings, interested party transactions, and inter-company agreements.
• Compliance: Implementation and management of internal enforcement plans and corporate policies.

Requirements:

1. Experience: 6–8 years of experience in Capital Markets/Corporate Law.
2. Background: Must come from a Capital Markets department of a top-tier law firm or a legal department of a publicly traded company.
3. Expertise: Deep knowledge of the Israeli Companies Law and Securities Law. Hands-on experience with TASE reporting systems is highly desirable.
4. Skills: Exceptional drafting skills in Hebrew (Native level - mandatory) and high proficiency in English. High attention to detail and organizational skills.
