Legal Counsel

BrandShield is seeking an experienced Legal Counsel to join our team and play a key role in supporting our commercial operations, corporate matters, and business growth.

We are looking for a talented legal professional with strong expertise in commercial contracts and corporate law to provide comprehensive legal support across our business activities. You will work closely with our sales, partnerships, and operations teams on commercial matters, while also managing key corporate governance functions and serving as the liaison with outside counsel.

Key Responsibilities

Commercial Contracts:

• Draft, review, and negotiate a variety of commercial agreements including customer contracts, vendor agreements, partnership deals, NDAs, and service agreements
• Provide practical legal guidance to internal stakeholders on commercial matters and contractual issues
• Manage contract lifecycle processes and maintain organized contract repositories
• Identify and mitigate legal and business risks in commercial transactions
• Develop and maintain contract templates and playbooks to streamline commercial processes

Corporate Matters:

• Manage corporate governance matters including board resolutions, shareholders, and corporate records
• Handle equity-related matters including stock option plans, grants, and cap table management
• Support corporate transactions and financing activities
• Ensure compliance with corporate legal requirements and filings

General Legal Support:

• Serve as primary liaison with outside counsel and manage external legal relationships
• Collaborate with cross-functional teams including Sales, Product, Finance, HR, and Operations
• Support compliance initiatives and ensure adherence to relevant regulations
• Advise on intellectual property matters related to commercial activities
• Stay current on relevant legal developments and industry best practices

Requirements

• Law degree (LL.B. or equivalent) and licensed to practice law
• 5+ years of experience in commercial contracts, either from:
• A leading law firm (Big Law background), or
• In-house legal experience at a high-tech/technology company
• Fluent English – excellent written and verbal communication skills (required)
• Strong understanding of corporate law and governance matters
• Proven drafting and negotiation skills with attention to detail
• Experience managing relationships with external counsel
• Proven ability to balance legal precision with business pragmatism
• Experience working in fast-paced environments and managing multiple priorities

Preferred Qualifications

• Experience in SaaS, cybersecurity, or brand protection industries
• Familiarity with international commercial law and cross-border transactions
• Knowledge of data privacy regulations (GDPR, CCPA)
• Experience with venture capital financing and startup corporate matters
