Commercial Lawyer

We are seeking a highly skilled and experienced Commercial Lawyer with a strong background in the high-tech industry and a minimum of 4 years of experience in commercial legal work. The ideal candidate will be responsible for handling a variety of legal matters related to commercial transactions, contracts, regulatory compliance, and corporate governance. This role requires a proactive legal professional who can work collaboratively with internal teams, mitigate risks, and support the company’s business growth.

What you will do:

Contract Drafting, Negotiation, and Management
Draft, review, and negotiate a wide range of commercial contracts, including SaaS agreements, software licensing, vendor agreements, NDAs, and partnership agreements.
Provide legal support for sales, procurement, and business development teams to ensure contracts align with business objectives and risk management strategies.
Develop and maintain standard contract templates and playbooks to streamline legal processes.

2. Compliance and Regulatory Matters

Ensure the company complies with all relevant laws, industry regulations, and corporate policies.
Stay up-to-date with changes in legal and regulatory landscapes affecting the high-tech industry, including data privacy laws (GDPR, CCPA, etc.).
Provide guidance on intellectual property (IP) protection, including trademarks, copyrights, and trade secrets.

3. Corporate Governance and Risk Management

Support corporate governance matters, including board resolutions, corporate policies, and subsidiary management.
Identify and mitigate legal risks associated with business operations and new market expansion.
Develop strategies to resolve potential disputes and manage litigation risks.

4. Cross-Functional Legal Support

Collaborate with Finance, HR, Product, Corp Dev, Biz Dev, Sales and compliance teams to provide legal insights on strategic initiatives.
Support employment law matters, including drafting employment contracts and policies.
Advise on data privacy, cybersecurity, and technology-related legal issues.

Requirements:

Law degree (LL.B, J.D.) and a valid legal license
4+ years of experience in commercial legal work, preferably in the high-tech industry (in-house or at a leading law firm)
Strong experience in drafting, negotiating, and managing technology-related commercial contracts
In-depth knowledge of contract law, corporate law, intellectual property, and data privacy regulations
Excellent communication and negotiation skills with the ability to explain complex legal concepts in business-friendly terms
Strong analytical and problem-solving abilities with a proactive and business-oriented approach
