Legal Counsel

RADCOM Ltd., a fast-growing NASDAQ-traded global telecommunications high-tech company is seeking a Legal Counsel to join its Legal Team. RADCOM is located in Tel Aviv (Ramat Ha’hayal), and supports a hybrid-friendly environment, combining work from office and home.

Description and Key Responsibilities:

We are looking for a talented, highly motivated team player to join our Legal team and serve as Legal Counsel. You will serve as a trusted advisor to key stakeholders in the Company, lead the drafting and negotiating of agreements with global corporations worldwide, provide legal advice on various commercial, corporate and securities matters and manage compliance risks. The Legal Counsel will be reporting to RADCOM's General Counsel. Key Responsibilities will include:

• Draft, review and negotiate a broad range of commercial agreements, with an emphasis on software licensing, distribution, reseller, and procurement agreements.
• Work closely with and provide legal support to the Company’s Finance team.
• Handle various corporate matters related to the Company and its subsidiaries worldwide.
• Provide on-going legal advice on all matters relating to the Company’s day-to-day operations, including sales and licensing, purchasing, HR, NDAs, and financial reporting.
• Assist in the preparation of SEC filings such as form 20-F, quarterly earnings press releases (6-K), proxy statements and other periodic reports.
• Provide advice on a broad range of compliance and corporate governance matters such as Data Privacy, Anti-Bribery and Corruption, Sanctions and Export Controls.

Job Requirements

• LLB degree or foreign equivalent and license to practice law in Israel.
• At least 6 years' experience as either an in-house counsel of a publicly traded hi-tech/industrial company or in the commercial/high tech department of a big law firm, with at least 2 years of securities and public company reporting experience.
• Fluent in Hebrew and English (written and spoken).
• Experience in software licensing and working in an international environment.
• Experience in working with sales teams and managing legal and compliance risks.
• Excellent interpersonal and communication skills and ability to work independently and in a team.
