Legal Counsel – Investments Division

We are seeking a highly motivated Legal Counsel to join the Legal Advisory Team of the Investments Division of a leading financial organization, acting as a one-stop-shop for legal support across all deal stages.

Key Responsibilities:

• Providing ongoing legal counsel for the Investments Division across all deal stages.
• Reviewing and analyzing credit and investment transactions in accordance with applicable financial regulations.
• Drafting and revising legal documents including MOUs, cooperation agreements, investment and financing agreements, guarantees, and securities-related documentation.
• Conducting legal due diligence on potential transactions and new credit products.
• Advising on regulatory matters such as investment regulations, insider information, antitrust, and securities law.
• Managing regulatory reporting to authorities such as the SEC, Bank of Israel, Capital Market Authority, KYC/FATCA.
• Updating internal policies and procedures.
• Collaborating with multiple internal and external stakeholders, including external legal counsel.
• Strong time management and prioritization skills required

Qualifications

• LL.B. from a leading academic institution
• Membership in the Israeli Bar – mandatory
• Up to 4 years of relevant experience – mandatory
• Proven experience in M&A and/or financing transactions is required
• Full professional proficiency in English (spoken, written, and reading)
