We are looking for a Corporate Legal Counsel. As a Corporate Legal Counsel at Rapyd, you will support a wide range of corporate legal matters, including M&A transactions, corporate governance, and corporate resolutions and regulatory filings. You will also assist in the day-to-day corporate and commercial legal needs of a fast-paced and growing technology company. The Role

• Assist with structuring and executing M&A transactions, including conducting due diligence, drafting and reviewing transaction documents, and supporting post-closing activities.
• Draft and maintain corporate governance documents, including board and shareholders resolutions, consents, meeting minutes, and related materials.
• Handle all ESOP related matters, including drafting and reviewing plan documents, managing grants and exercises, ensuring compliance with applicable laws and regulations, and providing guidance to HR and management on ESOP administration and employee communications.
• Manage all aspects of intercompany agreements, including drafting and reviewing agreements between group entities, ensuring alignment with corporate structure and business objectives, and maintaining proper documentation and compliance with applicable requirements.
• Support corporate secretarial tasks for global subsidiaries, including coordination with local counsels.
• Ensure compliance with corporate policies, procedures, and relevant laws and regulations.
• Collaborate with cross-functional teams, including finance, HR, compliance and operations, on a range of legal matters.
• Provide general legal support on various commercial and contractual matters as needed, including NDAs, service provider agreements, vendor agreements, and ensure that all commercial agreements adequately protect the company’s interests.
