We are seeking an accomplished and highly experienced Legal Counsel qualified in the Israel and/or a common law jurisdiction (e.g., U.S., England, Australia, Singapore) with 5-7 years of expertise in corporate and commercial law. This role will report directly to both CFO of GGT, and General Counsel of Yanolja Cloud (HQ).
The ideal candidate will possess exceptional communication skills in English and will be responsible for managing the legal affairs of the company’s global affiliates in close coordination with local counsel and HQ Legal. All legal matters will be handled in alignment with HQ’s legal standards and instructions. The company’s global affiliates operate across a wide range of jurisdictions, including:
U.S., UK, Australia, Spain, Italy, New Zealand, Bulgaria, Poland, Romania, Slovakia, Croatia, Hungary, Colombia, Mexico, Singapore, South Korea, India, Indonesia, Malaysia, Thailand, UAE, and South Africa.
Key Responsibilities:
- Act as the primary legal advisor for internal teams, providing cross-functional legal support to Finance, HR, Product, Business Development, Sales, and Compliance teams, offering legal insights into strategic initiatives, ensuring that all legal work adheres to the company’s and HQ's legal policies and standards.
- Analyze the business and legal risks associated with the company’s global affiliates, providing tailored legal solutions depending on its region.
- Draft, review, and negotiate commercial contracts to ensure compliance and mitigate potential legal risks.
- Work closely with HQ, maintaining consistent and transparent communication to ensure that all legal matters are managed efficiently and aligned with the company’s broader strategic goals.
- Oversee relationships with external legal counsel to ensure the highest quality legal services while managing costs.
- Inform and provide training company employees in adherence to company’s and HQ’s policies and standards.
- Develop and maintain standard contract templates to streamline legal processes, in close coordination with HQ legal.
- Develop strategies to resolve potential disputes and manage litigation risks.
- Support employment law matters, including drafting employment contracts and policies.
- Advise on data privacy, cybersecurity, and technology-related legal issues.
- Stay up to date with changes in legal and regulatory landscapes affecting high-tech industry, including data privacy laws (e.g., GDPR).
Qualifications:
- Qualified to practice law in Israel, and/or a common law jurisdiction (e.g., U.S., England, Australia or Singapore).
- Minimum 5-7 years of experience in corporate and commercial law (in-house or at a leading law firm), with expertise or strong interest in platform businesses, travel, and the IT sector.
- Proven ability to draft, review, and negotiate legal documents in English, particularly commercial contracts.
- Fluency in English (written and spoken), as the role requires reviewing legal documents and communicating regularly with HQ in English.
- Strong ability to organize and summarize complex legal and business matters into clear, concise updates to facilitate effective communication with various global stakeholders and ensure visibility into local developments.
- Extensive experience in international business transactions and cross-border legal issues.
- Ability to manage multiple projects simultaneously in a fast-paced environment while prioritizing tasks effectively.
- Excellent communication and interpersonal skills, with strong analytical and problem-solving abilities with a proactive and business-oriented approach.
- Ability to work independently as well as a strong team player.
- Ability to travel internationally without restrictions.
Preference:
- Candidate with U.S. license (or other common law jurisdiction) is strongly preferred.
- Experience working within multinational or IT/technology-driven environments.
- Experience managing legal affairs of subsidiaries and affiliates, serving as intermediary legal counsel between local entities and the global headquarters.
- Experience in providing guidance on intellectual property (IP) protection including trademarks, copyrights, and trade secrets.
- Significant experience with M&A transactions.
- Familiarity with working closely with IT, Sales, and Business Departments.
- A passion for dynamic and growing businesses, and new market expansion, with a track record of setting and achieving goals.
