Job Description

The Legal Officer of a Microfinance Institution (MFI) is responsible for providing legal support, ensuring compliance with financial regulations, managing contracts, handling litigation matters, and safeguarding the institution’s legal interests. The Legal Officer works closely with senior management, regulators, and external legal entities to ensure that the MFI operates within the legal and regulatory framework of the country.

Job Requirements

Key Responsibilities:

• Legal Compliance & Regulatory Affairs
• Ensure the MFI complies with all applicable financial, banking, and microfinance regulations.
• Keep management informed about changes in laws, regulations, and policies that affect microfinance operations.
• Liaise with regulatory bodies (e.g., Central Bank, Financial Regulatory Authorities) to ensure compliance with licensing, reporting, and operational requirements.
• Contract Drafting & Review
• Draft, review, and negotiate contracts, agreements, and legal documents related to lending, partnerships, and procurement.
• Ensure loan agreements, credit policies, and financial transactions are legally sound and protect the institution’s interests.
• Provide legal advice on contractual disputes and risk mitigation strategies.
• Risk Management & Dispute Resolution
• Identify and assess potential legal risks and develop strategies to mitigate them.
• Represent the MFI in legal disputes, litigation, and negotiations with clients, partners, or regulatory authorities.
• Ensure proper handling of client disputes, loan defaults, and debt recovery processes in compliance with legal frameworks.
• Loan Recovery & Debt Management
• Support the collections and recovery teams in handling legal proceedings for overdue loans and defaulters.
• Ensure all loan recovery actions comply with legal and ethical guidelines.
• Provide legal guidance on asset seizures, foreclosure, and other enforcement actions.
• Policy Development & Advisory
• Develop internal policies, procedures, and legal frameworks to ensure the institution operates lawfully.
• Provide legal training and awareness programs to staff, ensuring compliance with industry standards and ethical lending practices.
• Advise management and the Board on corporate governance, shareholder rights, and fiduciary responsibilities.
• Documentation & Record-Keeping
• Maintain accurate legal records, contracts, and case files for easy reference and regulatory compliance.
• Ensure proper documentation of client agreements, loan policies, and institutional legal correspondences.
  

Educational Background

• Bachelor’s or Master’s degree in Law (LLB/LLM).
• Licensed to practice law in the country of operation.
  

Experience

• Minimum 3-5 years of experience as a legal officer, corporate lawyer, or compliance officer, preferably in microfinance, banking, or financial services.
• Experience dealing with regulatory authorities and financial institutions is an advantage.
  

Skills & Competencies

• Strong understanding of financial and banking laws, microfinance regulations, and contract law.
• Excellent negotiation, litigation, and problem-solving skills.
• Strong analytical and decision-making abilities to assess legal risks.
• Ability to work with cross-functional teams and provide legal support to different departments.
• Proficiency in legal research, documentation, and compliance reporting.
  

Preferred Qualifications

• Prior experience working with microfinance institutions or financial regulators.
• Knowledge of debt recovery laws and client protection frameworks.
• Familiarity with corporate governance and ethical lending practices.
  

Work Conditions

• Office-based with occasional travel to regulatory agencies, courts, or client sites.
• Must be available for urgent legal matters as needed.
