Role Overview: Legal Counsel

As the Legal Counsel, you will be the company’s primary legal advisor, responsible for overseeing all legal matters and ensuring compliance with applicable laws and regulations. This role involves drafting and negotiating contracts, managing risks, and advising on corporate governance. You will collaborate with internal teams and external counsels worldwide to navigate the legal complexities of a scaling startup.

Key Responsibilities:

• Legal Strategy & Advisory: Serve as a trusted advisor to the executive team on legal, compliance, and regulatory matters.
• Support B2G Operations: Provide legal support for the company’s core Business-to-Government (B2G) activities, including accreditation processes and collaboration with government entities across Europe and the United States.
• Corporate Governance: Ensure compliance with corporate governance standards, including board meeting documentation and shareholder agreement; manage company filings, registrations, and other corporate formalities.
• Contract Management: Draft, review, and negotiate contracts, including NDAs, partnership agreements, employment agreements, vendor contracts, and more; develop and maintain standard contract templates.
• Risk Management: Identify potential legal risks and provide mitigation strategies.
• Employment & Labor Law: Advice on employment law issues and employee agreements.
• External Counsel & Stakeholder Management: Manage relationships with external legal counsel; act as the main point of contact for legal matters involving partners and regulators.

Qualifications:

• LLB degree from a university in Israel, admission to the Israeli Bar Association, and license to practice law in Israel.
• 5+ years of experience in legal practice, including time spent at a leading Israeli law firm, with a strong preference for In-house legal counsel experience, ideally in a startup or technology company.
• Experience in drafting and negotiating various legal agreements, such as NDAs, SaaS agreements, partnership contracts, and employment agreements.
• Familiarity with legal processes related to fundraising, investment rounds, and shareholder agreements.
• Exceptional communication skills in Hebrew and English (fluency required).
• Strong organizational skills and the ability to manage multiple priorities in a fast-paced environment.
• Experience with regulatory frameworks in foreign jurisdictions (U.S. and EU)- advantage.
• Self-learner, independent.
