General Counsel

The GC is responsible for shaping and execution of our legal strategy and policies and handling legal affairs across all aspects of our business, including corporate law in US and Israel, commercial, compliance policies and data protection matters, corporate secretarial work and.

The position includes:

·Legal Adviser: provides legal advice and guidance to the organization's leadership, including executives and the board of directors, on a wide range of legal issues

·Risk Management: identify, assess, and manage legal risks that the organization may face, developing strategies to mitigate these risks and protect the company's interests.

·Compliance: Ensuring that the organization complies with all applicable laws and regulations, including compliance with SEC, Nasdaq, TASE rules and other industry-specific regulations and establishing compliance programs and policies.

·Contract Management: Overseeing, drafting, negotiating, and reviewing of all contracts and agreements the organization enters, including partnerships, licensing, share purchase, R&D, etc.

·Corporate Governance: Ensuring compliance with corporate governance standards, including secretarial work. Maintaining and managing corporate records, documents, and filings to ensure legal compliance.

·Playing a key role in due diligence, negotiations, and legal aspects of strategic collaborations and financing rounds.

·Privacy – Acting as the corporate’s Data Protection Officer (DPO); managing privacy matters and database registrations, leading all data privacy related initiatives, including compliance with GDPR, HIPAA, and Israeli privacy law and regulations

·External Legal Relationships: Managing relationships with external law firms and legal service providers, including cost control and selecting appropriate counsel.

Requirements:

·Law degree and Israeli and/or US bar admission

·10+ years of versatile commercial and corporate law experience

·Experience in working as legal counsel at a public traded company in the US and understanding US Corp law – a must

·Experience in working with Tech companies, specifically in biotech industry

·Excellent English - written and verbal communication skills

·Strong collaboration and negotiation skills

·Extremely loyal, independent with extreme ownership approach 

·Ability to work and adjust to changes in a tense, shifting and dynamic environment
