Practice Summary

Greenberg Traurig’s global Capital Markets Practice in Tel Aviv is recognized for its skill in handling U.S. and cross-border transactions, including initial public offerings, high yield, and investment-grade debt offerings, Rule 144A and Regulation S offerings for foreign private issuers, registered direct offerings, at-the-market offerings (ATMs), public and private equity line transactions, Special Purpose Acquisition Companies (SPACs), and Private Investment in Public Entities (PIPEs). We represent U.S. and non-U.S. public and private issuers, with an emphasis on Israel-headquartered companies, as well as underwriters, financial institutions, venture capital funds, investment companies, and private investment firms in all aspects of U.S. securities offerings.

Job Highlights:    

This position involves representing private and public company clients both in capital market transactions as well as in general corporate, disclosure and compliance matters. Candidates can expect to manage client relationships and handle day-to-day needs of clients with mentoring from leading securities lawyers. 

Job Requirements:

The ideal candidate will have 5-7 years of experience in general corporate practice with a primary emphasis on securities law (including SEC reporting requirements).

Ideal candidates will have experience representing issuers in public and private offerings of initial public offerings and follow-on offerings. Additional experience counseling pre-IPO and public companies on disclosure, corporate governance, and SEC and stock exchange reporting and compliance matters, including preparation of Exchange Act filings, including Forms 10-K, 10-Q, 8-K and proxy statements, is highly preferred. Experience representing foreign private issuers is a plus. 

In addition, candidates should possess strong academic credentials, licensed in a U.S. state, have excellent communication and drafting skills, be detail and team-oriented and capable of taking on significant responsibility for drafting primary deal documents, leading complex diligence, deal management, client interaction and work product. Being conversant in Hebrew is a plus.
