Commercial and corporate Legal Counsel

Paragon is a fast -growing Cyber intelligence company, rapidly establishing itself as a key player in the industry. We are a young innovative company with a cutting-edge product based in Tel Aviv.

We are looking for a Legal Counsel to join our team. In this role you will have the opportunity to manage commercial agreements with clients, suppliers and partners (worldwide), handle various corporate governance needs and provide day to day legal support and guidance to all departments in the company. This role will be reporting to the company’s VP Legal and Compliance.

Responsibilities:

• Assiting the VP Legal and Compliance on drafting, reviewing and negotiating international agreements with clients, partners and vendors, including software licensing agreements, NDAs, partner agreements, compliance programs and trainings, Employee’s and consulting agreements, etc
• Ensuring legal compliance in all business activities and provide legal guidance and support to management and other departments within the organization, helping to navigate complex legal issues and mitigate risks
• Supporting the activities of the department and collaborate with various departments in the company, such as sales, product, human resources and finance
• Managing the company’s relationship with external counsels (foreign and local).
• Lead the processes of management, maintenance and improvement of our legal template’s repository
  
  

• 3-5 years of extensive experience (after internship) working in a commercial or high-tech department of a leading law firm and/or as an in-house counsel in a software company
• LLB (or equivalent degree) and current Bar admission (or equivalent registration)
• Experience in reviewing, drafting, and negotiating a wide variety of commercial agreements and related legal documents, Software license agreements, NDAs, and reseller/distribution agreements
• Having a deep understanding of corporate law and commercial transactions, along with strong analytical and problem-solving skills
• Service-oriented and responsive attitude, strong attention to detail, hard-working and committed to providing excellent work
• Ability to work independently and own projects, but with full recognition of areas of limitation and need for support/guidance
• Fluent English and Hebrew
• Experience in labor law & privacy law - an advantage
