Associate Corporate Secretary - SEC Reporting and Compliance

We seek a highly skilled and experienced Legal Counsel specializing in US Securities and Exchange Commission (SEC) drafting and filing to join our legal team at SolarEdge as Associate Corporate Secretary and Legal Counsel. The successful candidate will report to the General Counsel and Corporate Secretary of SolarEdge and play a crucial role in ensuring the company's compliance with SEC regulations, maintaining accurate and timely financial disclosures, and supporting various other legal and compliance initiatives.

Key responsibilities:

• Review and prepare all company public disclosure and securities filings such as proxy statements, Forms 10-K, 10-Q, 8-K, and Section 16 filings/reports. Ensuring compliance with SEC regulations and disclosure requirements.
• Lead legal activities for compliance matters under SEC domestic issuer rules and regulations and other corporate governance rules and regulations such as GDPR, Cyber and ESG.
• Work closely with legal counsel, auditors, internal stakeholders, and other professionals involved in the SEC reporting process to gather relevant information for SEC filings.
• Provide legal advice on relevant regulations (Israeli and foreign)
• Keep current on applicable securities laws, regulations, and enforcement actions to identify emerging trends and risks.
• Prepare materials for board, stockholder meetings, and committee meetings, ensuring compliance with SEC and other regulatory requirements. Support corporate governance initiatives, including proxy statements and annual meeting materials.

Requirements

• 4-6 years' experience
• Experience in U.S. SEC corporate filings and compliance matters
• Native English, with excellent writing and drafting skills
• Commercial contract experience - Advantage
• Excellent interpersonal skills
• Hands-on and business-oriented – with the understanding of the need to play an active role and to be responsible for taking projects from A to Z.
