Arieli Capital operates four core businesses: Arieli Family Office, Arieli Innovation, Arieli Advisory and Arieli Innovation Fund. Our team is primarily based in Israel with offices in New York and London.

Role Overview:

As VP Legal you will play a vital role in our organization, working closely with the investment and innovation teams, and external counsels (US and Israel), to support all legal aspects of transactions from both a structuring and execution perspective. You will also collaborate with the management team on various legal projects, including tax structuring, fund and legal entity formation, and partnership agreements. This position offers an opportunity to grow with our firm over time.

Responsibilities:

• Draft and review documents and contracts for the firm's investment activities, including shareholder agreements, investment agreements, share purchase agreements, convertible loan notes/SAFEs, side letters, and other related documentation.
• Prepare, coordinate, and manage legal and regulatory documentation and procedures for the establishment of new funds and Special Purpose Vehicles (SPVs).
• Conduct legal due diligence and review investment/fund documentation.
• Monitor and manage external counsel(s) to ensure efficient collaboration.
• Interact, consult, and draft partnership/collaboration agreements, including ongoing engagements.
• Contribute to a variety of other legal and corporate projects as required.

Qualifications and Skills:

• Qualified lawyer with knowledge and experience in US and Israeli law.
• At least 5 years of prior experience working in venture capital and/or family office space.
• Ability to work under tight deadlines and manage multiple priorities simultaneously.
• Self-motivated with the ability to work independently, collaboratively, and proactively.
• Excellent communication and collaboration skills.
• Native/fluent English with proficiency in Hebrew preferred.

Additional Information:

• Occasional travel, primarily within Israel may be required.
