We are searching for a senior and experienced Securities and Commercial Lawyer for the Head of Corporate Legal position.

The position:

The Head of Corporate Legal is in charge of our Corporate, Compliance & Ethics, and Inbound Commercial domains, managing the Corporate Legal team and reporting directly to NICE's General Counsel and Corporate Secretary.

Office-based position (in an hybrid model) at NICE Ltd.'s offices in Ra'anana.

Job Requirements:

• At least 8 years' experience as a lawyer in a legal department of a publicly traded company or a corporate/hi-tech department in a leading law firm (strong preference to in-house experience)
• Deep knowledge and understanding of US Securities Law
• Experienced in working with Board and Board committees
• Experience in communicating with shareholders and shareholder advisory firms
• Knowledge in management of compliance programs, including Code of Ethics and Anti-Bribery and Corruption program
• Experience with commercial engagements, including procurement and technology partnerships
• Excellent managerial skills
• Excellent communication skills; service-oriented; team player
• Process driven, including through automation
• Knowledge in Privacy - an advantage
• Experience working in/with global companies, preferably in the hi-tech industry
• Qualification to practice law in Israel
• English mother-tongue level a must
  
  

• Corporate: Head NICE’s Corporate related work, including:
• Public filings with the SEC and ISA
• Shareholders meetings, including interactions with advisory firms and shareholder
• Manage secretarial matters of the company
• Advise on equity based compensation matters
• Lead ESG related initiatives
• Manage Corporate policies and procedures
• Supporting Corporate Finance activities
• Compliance: Manage the Compliance & Ethics team that is in charge of the following domains:
• Anti-Bribery and Corruption
• Trade Compliance (Sanctions)
• Code of Ethics and related policies
• Internal ethical investigations
• Commercial: manage the Inbound commercial team that supports Corporate Procurement, IT, R&D and other inbound activities
• Support HR activity in Israel
