Corporate Counsel (Commercial)

We actively seek a Corporate Counsel (Commercial) resident in EMEA.

Position Summary

The Corporate Counsel will be responsible for drafting, reviewing, and negotiating a wide variety of commercial contracts, including: customer-facing non-disclosure agreements, master service agreements, statements of work and amendments; and supplier and vendor-facing service agreements, license agreements, marketing agreements, purchase agreements and other similar contracts. The Corporate Counsel will also be responsible for other general corporate law functions and advice based on the company’s needs. Some local and regional travel may be required, with occasional travel to U.S.

Essential Duties And Responsibilities

• Draft, review and negotiate a wide variety of commercial contacts with company’s customers, suppliers and vendors
• Interact with other Legal Department staff members, company employees, outside counsel and opposing counsel, including department members in the U.S, LATAM, APAC and EMEA
• With respect to the company’s customer agreements, assist global sales team to successfully close transactions in a manner consistent with company’s policies and best interests
• Perform other general corporate law functions and provide other general corporate law advice as needed
• Contribute to process improvement
• Provide other legal support to the General Counsel, Managing Counsel, Senior Corporate Counsel and fellow Corporate Counsel as needed
  
  

Education

• Graduate of a reputable law school and currently licensed in good standing to practice law in the employee’s region of responsibility
• Candidate must have the right to work in the assigned region and be able to travel freely within the region as required
  
  

Location

• EMEA; the ideal candidate will be based in the U.K., France or Israel
  
  

Experience

• Depth of commercial transactional experience in private practice (law firm), in-house, or preferably both
• Fluency in both written and spoken English is required. Candidate must be able to draft contracts and carry out legal negotiations in English
• Experience working with a U.S. company and understanding of U.S. culture and global business relations is a must
• Experience with cross-border legal matters with additional jurisdictions preferred
• Experience with an internal sales organization preferred
• Knowledge of data protection laws including GDPR preferred
• Familiarity with tech or IP industry a plus

• Ability to work remotely when not physically present at primary place of employment
• Ability to perform the essential functions of the position, as described above and as modified from time to time based on the needs of the company
• Strong written and verbal communications skills, including the ability to lead or participate in conference calls to negotiate agreements in English
• Ability to work both independently, as a self-starter with strong work ethic, as well as collaboratively as team player
• Excellent judgment and the ability to function in a highly confidential environment, with a demonstrated ability to think globally
• Excellent analytical and problem-solving skills
• Able to manage multiple priorities with “can do” attitude, work cross-functionally and meet tight deadlines
• Personable, team player with a friendly demeanor and great sense of humour
• Proactive, organized, self-motivated and self-disciplined
• Experience with Microsoft Word, Excel and PowerPoint required
